1. Paid Accounts
Billing
To access the paid features, you have the option to upgrade your Bookkeeper account (the "Bookkeeper Account") which will convert it to a paid account. Once you convert it, we will automatically bill you starting from the conversion date and on each subsequent renewal until you cancel your Bookkeeper Account or cancel the paid feature applied to it. Please note that you are responsible for any applicable taxes, which will be charged when required. It is important to be aware that certain countries have specific laws regarding cancellation rights, and this paragraph does not override those laws.
Refunds
Should you decide to cancel your paid Bookkeeper Account, you can do so at any time at your own discretion. Refunds will be issued in cases where they are mandated by law.
Downgrades
Your paid Bookkeeper Account will remain active until it is canceled or terminated according to these Terms of Service. In the event that you fail to make payment on time, we retain the right to either (i) suspend your Bookkeeper Account or (ii) reduce your access to the free version of our Products.
Changes
While we reserve the right to change our fees, we will provide advance notice before any such changes take effect. Any adjustments in prices will apply to your next billing cycle.
2. Your Ownership of Your Data and the Permissions You Give to Us
The "User Content" refers to the text and documents that you enter, upload, and transmit when using our Products.
You retain ownership of your User Content. Bookkeeper does not claim any ownership in relation to it. However, in order to provide our Products to you, we require your permission (in legal terms, a license) to use your User Content.
By using our Products, you grant us an unconditional license (the "License") to your User Content for the following limited purposes:
- Operating, improving, troubleshooting, and debugging our Products;
- Protecting our Products;
- Customizing our Products;
- Developing new Products or features.
The License you grant us
- Worldwide — This allows you to access your User Content from anywhere in the world.
- Non-exclusive — You retain ownership of your User Content, and you can also license it to other individuals or companies.
- Royalty-free — We do not provide monetary compensation for your User Content.
Scope and responsibility
As per intellectual property laws, the License stays valid for as long as your User Content is protected.
Under the License you grant us, we can store, reproduce, use, publish, and publicly display your User Content (solely for the Purposes mentioned above). We may also modify your User Content and create derivative works, such as offering writing suggestions and autocorrecting words. Additionally, our service providers may assist us in these activities.
Please be aware that Bookkeeper does not own, control, verify, or endorse the User Content. You are solely responsible for all of your User Content. It is important that you back up your User Content and refrain from engaging in any illegal or harmful activities with it, including violations of intellectual property or trade secret laws.
3. Our Intellectual Property Rights and License to You
Some of our Products offer the option to download client's software. By agreeing with these terms, you are granted a limited, non-exclusive, non-transferable, revocable license to use our client software solely for accessing our products (the "Client's License").
Please note that our Products are protected by copyright, trademark, and other applicable laws. Apart from the Client's License, we retain all rights, title, and interest in our Products, trademarks, logos, and other brand features. We appreciate your feedback, and you agree that we may use it without any restrictions or obligations towards you.
4. Limitations on Use and Responsibilities
Keeping your Bookkeeper Account information up to date and secure
It is your responsibility to protect your password for our Products. Please refrain from sharing your Bookkeeper Account credentials or granting others access to your Bookkeeper Account. We will contact you regarding our Products using the email address associated with your Bookkeeper Account, so it is important to keep your Bookkeeper Account information current.
Minimum age requirements
To use our Products, you must be at least 13 years old. If the law in your jurisdiction requires you to be older in order for us to legally provide our Products to you without parental consent (including the use of your personal data), you must meet that age requirement. If you do not meet these age requirements, you may not use our Products.
5. Termination
We may suspend or terminate your access to our Products after notifying you if:
- you violate these Terms of Service,
- your use of the Products poses a real risk of harm or loss to other Bookkeeper users or us,
- you have not accessed our Products for 12 (twelve) consecutive months and do not have a paid Bookkeeper Account.
Before suspension or termination
Before suspending or terminating your Bookkeeper Account, we will (1) give you reasonable advance notice via the email address associated with your Bookkeeper Account so that you can rectify the issue that prompted us to contact you, and (2) allow you to export your documents from our Products. If you fail to comply with our instructions after receiving such notice, we will terminate or suspend your access to our Products.
Termination without notice
We may terminate your Bookkeeper Account without notice if we believe that:
- you have breached these Terms of Service in a significant way,
- not providing a termination notice would result in legal liability for us or compromise our ability to provide our Products to other users,
- the law prohibits us from providing services to you.
6. Discontinuation and Modification of Products
We are constantly improving our Products and may add or remove features or functionality. If we decide to discontinue a Product, we will make every effort to provide you with advance notice and an opportunity to download your stored User Content.
7. Reverse Engineering, and Automatic Updates
Unless prohibited by law, you agree not to reverse engineer or decompile our Products, attempt to do so, or assist anyone in doing so. Our Products may be automatically updated to ensure you are using the latest version.
8. Third-Party Websites
Please note that any links to third-party websites or apps are provided solely for your convenience and are subject to the terms set by the third party. Bookkeeper is not responsible or liable for the content, products, or services provided by those websites.
9. Limitation of Liability
In places where liability limitations are allowed, Bookkeeper won't be held accountable for the following in relation to the Products:
- Any amount beyond the total fees you have actually paid to Bookkeeper in the 12 (twelve) months immediately before the event(s) causing such liability.
- Any lost profits, lost or damaged content, data, or failure to meet responsibilities, which include acting in good faith and showing reasonable care.
- Any indirect, incidental, punitive, special, exemplary, or consequential damages of any kind.
Scope and enforceability
You understand that this limitation of liability is a fair way to manage risk and is a fundamental aspect of the agreement between you and Bookkeeper. You acknowledge that our Products wouldn't be provided without these constraints.
Certain countries and states might not allow certain damage limitations. In such cases, some or all of this liability limitation might not apply to you, and you may have extra rights. If this happens, you agree that Bookkeeper's liability is restricted to the maximum extent permitted in your country of residence.
If any part of these sections is found to be invalid, it won't affect the validity of the rest of these terms. Bookkeeper's affiliates and its suppliers, licensors, and distributors are intended beneficiaries of this section.
10. Resolving Disputes
Before taking legal action against Bookkeeper, we agree to try resolving the matter informally. You should reach out to contact@bookkeeper.lu, and we will do the same by contacting you through email.
If informal resolution fails, the party wanting to initiate formal proceedings must first send a written notice of dispute (the "Notice") to the other party via certified mail. The Notice should be sent to Bookkeeper S.à r.l., 12 Rue du Fort Bourbon, L-1249 Luxembourg, Attn: Legal Department, email: legal@bookkeeper.lu.
The Notice needs to (i) describe the nature and basis of the claim or dispute, and (ii) state the specific relief being sought. If the issue isn't resolved within 60 (sixty) calendar days after receiving the Notice, either party may start a formal proceeding.
Legal disputes forum: Both you and Bookkeeper agree that any legal disputes about these terms or our Products will be handled in the courts of Luxembourg. You and Bookkeeper accept the jurisdiction and venue of these courts.
Applicable laws: Laws of Luxembourg.
11. Entire Agreement
These terms constitute the entire agreement between you and Bookkeeper regarding your use of our Products, superseding any previous agreements.
12. Waiver, Severability, and Assignment
Bookkeeper's failure to enforce a provision does not waive its right to enforce it at a later time. If a provision is unenforceable, the other provisions will still be in effect, and an enforceable term will be substituted to reflect our intent as closely as possible. You are not allowed to transfer your rights or responsibilities under these terms, and any attempt to do so will be invalid. Bookkeeper has the right to transfer its rights to any of its affiliates or subsidiaries, or to any successor of any business associated with the Products.
13. Modifications to These Terms
Occasionally, we may make changes to these Terms of Service in order to comply with new laws, regulations, or updates to our Products.
If an update significantly affects your use of our Products or your legal rights, we will notify you before the update takes effect by sending an email to the address associated with your Bookkeeper Account or through an in-product notification. You will have at least 30 (thirty) days from the date of the notice to review the changes before they are implemented.
We may also make updates that do not significantly impact your rights, such as changing feature or product names, or modifying the email address for contacting us. In such cases, we will post the changes on our website and provide a link to the previous version.
If you do not agree to the updates, you must cancel your Bookkeeper Account before they become effective. If necessary, we will offer a prorated refund based on the prepaid amounts and the date of Bookkeeper Account cancellation. By continuing to use or access the Products after the updates take effect, you are agreeing to be bound by the revised terms.
Restricted Activities
Bookkeeper does not provide services for registration of companies with certain restricted activities. Regulated activities require additional professional qualifications and authorizations. For a full list, please refer to our Restricted Activities page.
