Participation exemption regime

The SOPARFI benefits from a full exemption on dividends received and capital gains from the sale of qualifying participations. Conditions: participation of at least 10% (or acquisition cost of at least €1.2M), holding for at least 12 months, and the subsidiary must be subject to comparable taxation (rate of at least 8.5%). This regime allows consolidating family participations within a single structure, receiving dividends tax-free and restructuring the portfolio with no tax impact.

Substance requirements for a SOPARFI

To fully benefit from the tax advantages, the SOPARFI must demonstrate genuine economic substance in Luxembourg: suitable premises, qualified staff (at minimum a chief financial officer or active director), regular board meetings in Luxembourg, and effective decision-making capacity on investments and divestments. The most sophisticated family offices employ 3 to 10 people in Luxembourg for management, finance, compliance and administration functions.
